NexoVirt Community Edition License Agreement

This License Agreement ("Agreement") is a legal agreement between you, either an individual or a single entity ("You"), and Nucez Software, operating the product "NexoVirt" ("Licensor", "we", "us"), for the NexoVirt software identified as the Community Edition, together with its documentation and any updates we provide (the "Software").
By downloading, installing, activating, or using the Software, You agree to be bound by this Agreement. If You do not agree, do not install or use the Software.
1. Definitions
1.1 "Community Edition" or "CE" means the free edition of the Software, which runs without a paid subscription and is subject to the limits described in Section 3 and the entitlement system.
1.2 "Enterprise Edition" means the paid edition of the Software, unlocked by a valid subscription license, governed by the separate NexoVirt Enterprise Subscription Agreement.
1.3 "Node" means a distinct Proxmox VE host (physical or virtual) managed through the Software.
1.4 "Noncommercial Use" means use of the Software for Your personal, hobby, educational, research, evaluation, or internal purposes, including managing virtual machines and containers on infrastructure that You, or the single organization You belong to, operate for Your own use.
1.5 "Commercial Hosting Use" means any use of the Software, directly or indirectly, to provide virtual-server, VPS, container, or infrastructure services to third parties; to resell, rent, sublicense, or offer the Software or access to it (including any portal, API, or console it provides) to third parties; to operate the Software as, or as part of, a managed or hosted service for third parties; or otherwise for the commercial benefit of a hosting, virtualization, or infrastructure-services business.
2. License grant
2.1 Subject to Your compliance with this Agreement, we grant You a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Community Edition free of charge, solely for Noncommercial Use.
2.2 The Community Edition is licensed, not sold. We and our licensors retain all right, title, and interest in and to the Software, including all intellectual property rights.
3. Community Edition limits and the entitlement system
3.1 The Community Edition may be limited by the Software's built-in entitlement system, including but not limited to a maximum number of Nodes. The current Community Edition limit is 2 Nodes. Exceeding a limit may require an Enterprise subscription.
3.2 The Software may periodically contact our license server to validate its edition and enforce these limits. You consent to this validation. The Software is designed to keep operating and to degrade gracefully to the Community Edition if validation is temporarily unavailable.
4. Restrictions
You shall not, and shall not permit any third party to:
4.1 Use the Software for Commercial Hosting Use. Commercial Hosting Use is not licensed under this Agreement and requires a paid Enterprise subscription. If You are unsure whether Your use is permitted, contact us at [email protected] before proceeding.
4.2 Circumvent, disable, bypass, or alter the Software's licensing, entitlement, edition, node-limit, or license-key functionality, or use the Software in a manner intended to unlock paid features without a valid subscription.
4.3 Remove, obscure, or alter any licensing, copyright, trademark, "Powered by", or attribution notices in the Software or its interfaces, except where the Software itself provides a licensed feature to do so.
4.4 Rent, lease, lend, sell, redistribute, sublicense, or provide the Software to any third party, except as expressly permitted for Noncommercial Use of Your own infrastructure.
4.5 Reverse engineer, decompile, or disassemble the Software, except to the extent that applicable law expressly permits despite this limitation.
4.6 Use the Software in violation of any applicable law, or to infringe the rights of any third party.
5. Commercial use requires a subscription
If You wish to use the Software for Commercial Hosting Use, or beyond the Community Edition limits, You must obtain a paid Enterprise subscription. Genuine Noncommercial Use of infrastructure You operate for Your own use remains free under this Agreement.
6. Updates and support
We may, but are not obligated to, provide updates to the Community Edition. Community Edition is provided without any commitment of support, service levels, or maintenance. Support may be offered on a community, best-effort basis only.
7. Data and telemetry
The Software may transmit limited operational data required to validate the license and enforce edition limits (for example a hardware fingerprint and the primary IP of the server). We handle such data in accordance with our Privacy Policy at https://nexovirt.com/privacy.
8. Term and termination
8.1 This Agreement is effective until terminated.
8.2 It terminates automatically if You breach any term, in particular Section 4. On termination You must cease all use of the Community Edition and destroy all copies in Your possession or control.
8.3 A lapse or downgrade of any Enterprise subscription reverts the Software to the Community Edition and to the terms of this Agreement; it does not by itself terminate Your right to Noncommercial Use.
9. Disclaimer of warranty
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. YOU BEAR THE ENTIRE RISK OF USING THE SOFTWARE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE. OUR TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED EUR 50, GIVEN THAT THE COMMUNITY EDITION IS PROVIDED FREE OF CHARGE.
11. Governing law and venue
This Agreement is governed by the laws of Germany, without regard to its conflict-of-laws rules. The courts of Enger, Germany have exclusive jurisdiction over any dispute arising out of it.
12. Entire agreement; changes
This Agreement is the entire agreement between You and us regarding the Community Edition and supersedes prior understandings. We may update this Agreement for future versions of the Software; continued use after an update constitutes acceptance of the updated terms.
