NexoVirt Enterprise Subscription Agreement

This Enterprise Subscription Agreement ("Agreement") is between You and Nucez Software ("Licensor", "we", "us") and governs Your use of the paid, subscription-licensed edition of the NexoVirt software ("Software", "Enterprise Edition"). It supplements and, for the Enterprise Edition, supersedes the NexoVirt Community Edition License Agreement.

By purchasing, activating, or using an Enterprise subscription, You agree to this Agreement.

1. Definitions

1.1 "Subscription" means a paid, time-limited right to use the Enterprise Edition, evidenced by a valid signed license issued by us for a specified tier and term.

1.2 "Tier" means the subscription level You purchase (for example Pro, Business, Unlimited), which determines the Node limit and the set of unlocked features.

1.3 "Node" means a distinct Proxmox VE host (physical or virtual) managed through the Software.

1.4 Terms not defined here have the meaning given in the Community Edition License Agreement.

2. License grant

2.1 Subject to Your payment of the applicable fees and compliance with this Agreement, we grant You a non-exclusive, non-transferable, non-sublicensable, revocable license, for the duration of the Subscription, to install and use the Enterprise Edition, including Commercial Hosting Use, up to the Node limit and within the feature set of Your Tier.

2.2 Commercial Hosting Use, as defined in the Community Edition License Agreement, is expressly permitted under a valid Subscription.

2.3 The Software is licensed, not sold. We retain all right, title, and interest, including all intellectual property rights.

3. Tiers, limits, and license validation

3.1 Your Tier sets the maximum number of Nodes and the unlocked features (which may include white-label branding, single sign-on, roles and approvals, the reseller tier, and priority support).

3.2 The Software validates the Subscription with our license server and enforces the Tier limits. You consent to this validation. An expired, invalid, or absent Subscription degrades the Software to the Community Edition and to the Community Edition License Agreement; it does not brick the Software or disable Your existing infrastructure.

3.3 A signed license may be bound to Your servers by a hardware fingerprint. Each distinct server may consume one seat of Your Node allowance.

4. White-label and branding

Where Your Tier unlocks white-label branding, You may replace the NexoVirt name, logo, and "Powered by" mark within the Software's provided branding controls, for the duration of the Subscription. This right ends when the Subscription lapses, at which point default NexoVirt branding is restored. You may not otherwise remove or alter licensing or attribution notices.

5. Fees, payment, and renewal

5.1 Fees, billing period, and Tier are as stated at purchase. Fees exclude taxes, which are added as required by law.

5.2 Subscriptions renew and cancel per the terms shown at checkout. A lapsed Subscription reverts the Software to the Community Edition (Section 3.2).

5.3 Except as required by law or expressly stated, fees are non-refundable.

6. Restrictions

The restrictions in Section 4 of the Community Edition License Agreement apply, except that Commercial Hosting Use is permitted under a valid Subscription. In particular You shall not circumvent the entitlement or license-key system, exceed Your Tier's Node limit, or unlock features beyond Your Tier.

7. Support

We provide the support level associated with Your Tier. Support scope, channels, and response targets are as described at https://nexovirt.com/pricing or in Your order.

8. Term and termination

8.1 This Agreement runs for the Subscription term and any renewals.

8.2 We may suspend or terminate for material breach, including non-payment or circumvention of the entitlement system. On termination of all Subscriptions the Enterprise Edition reverts to the Community Edition.

9. Warranty disclaimer and limitation of liability

9.1 THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, EXCEPT AS REQUIRED BY APPLICABLE LAW.

9.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL NOT EXCEED THE FEES YOU PAID FOR THE SUBSCRIPTION IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL.

10. Governing law

This Agreement is governed by the laws of Germany, and the courts of Enger, Germany have exclusive jurisdiction, without regard to conflict-of-laws rules.
